Customer Service Agreement

1. Service

AnswerSentry provides an AI-assisted telephone receptionist configured from Customer-approved business information. The service may answer calls, collect messages, route calls, and schedule appointments within the approved playbook. AnswerSentry is not an emergency service, licensed professional, or substitute for Customer personnel.

2. Founding pilot order

The founding pilot is $299 per monthly billing period and includes 300 receptionist minutes. There is no setup fee. No overage is automatically charged unless the parties later accept a written order identifying the rate and limit. Taxes, if applicable, may be collected by the payment provider.

3. Customer responsibilities

Customer must provide accurate hours, services, pricing rules, escalation contacts, calendar permissions, and legally required notices. Customer must maintain a reachable human fallback, review agent behavior, obtain any required recording or messaging consent, and promptly correct inaccurate instructions.

4. Acceptable use

Customer will not use the service for unlawful, deceptive, abusive, discriminatory, emergency-dispatch, medical-diagnosis, legal-advice, debt-collection, or high-risk decision-making purposes. AnswerSentry may suspend a flow that appears unsafe, unlawful, compromised, or materially outside the approved configuration.

5. AI and telephony limitations

AI and carrier services can misunderstand speech, experience latency, or become unavailable. AnswerSentry does not guarantee that every call will connect, transfer, transcribe, or book correctly. Customer must use reasonable human review and fallback procedures. Service-level guarantees apply only if stated in a separate signed order.

6. Data and security

Each party will use reasonable safeguards for credentials and personal information. Customer grants AnswerSentry permission to process call and business data solely to provide, secure, troubleshoot, and improve the configured service. Retention, recording, and deletion settings must follow the approved configuration and applicable law.

7. Payment, cancellation, and suspension

Subscriptions renew monthly until canceled. Customer may cancel before the next renewal; cancellation takes effect at the end of the paid period unless otherwise required by law. Failed payment, material abuse, security risk, or exceeded approved limits may trigger restricted automation or human fallback rather than an undisclosed charge.

8. Confidentiality and intellectual property

Each party retains its pre-existing materials. Customer owns its business content and call records, subject to provider and legal constraints. AnswerSentry retains its software, prompts, templates, processes, and generalized know-how. Each party will protect the other’s non-public information using reasonable care.

9. Warranties and liability

The service is provided on an “as available” basis during the pilot. To the maximum extent permitted by law, neither party is liable for indirect, special, incidental, consequential, exemplary, or lost-profit damages. AnswerSentry’s aggregate liability arising from the pilot will not exceed fees paid for the three months preceding the event giving rise to the claim, except where a limitation is prohibited by law.

10. Indemnity

Customer will defend and indemnify AnswerSentry from third-party claims caused by Customer’s unlawful instructions, content, missing consent, misuse, or violation of this agreement. AnswerSentry will defend Customer from third-party claims that the unmodified service infringes a United States intellectual-property right, subject to prompt notice and control of the defense.

11. Term and general terms

This agreement begins when accepted and activated. Either party may terminate for uncured material breach after reasonable written notice, or immediately for serious safety, security, or legal risk. The parties are independent contractors. Electronic acceptance is binding. If a provision is unenforceable, the remainder continues. Texas law governs, without regard to conflict-of-law rules; venue lies in Dallas County, Texas.
